NYSE Commission Identifies 10 Core Governance Principles

In response to the financial crisis of 2008, the New York Stock Exchange (NYSE) initiated a comprehensive review of corporate governance principles. Seeking to inform the debate over whether fundamental changes were needed to improve corporate governance, the NYSE sought to set forth core governance principles which could be widely accepted and supported by issuers, investors, directors and other market participants. On September 23, 2010 after a year of work, the Commission on Corporate Governance issued its report providing a detailed review of the corporate governance changes that have occurred over the last decade and outlining 10 core governance principles covering the scope of the board’s authority, management’s responsibility for governance, and the relationship among shareholders’ trading activities, voting decisions and the governance process.
